1. Eligibility and accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction) and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
2. Description of the Service
SocialRoar is a tool for managing social media comments and online reviews. It connects to third-party platforms such as Facebook, Instagram, TikTok, YouTube, LinkedIn, and Google Business Profile via their official APIs. You authorize us to access these platforms on your behalf using OAuth permissions you grant.
3. Your content and connected platform data
You retain ownership of all content you submit to the Service, including knowledge-base files, brand guidelines, and replies you create or approve. You grant SocialRoar a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process your content solely to provide and improve the Service.
You represent that you have all necessary rights to the social accounts and pages you connect, and that your use of the Service complies with the terms of those underlying platforms (including Meta, Google, LinkedIn, TikTok, and YouTube developer policies).
4. Acceptable use
You agree not to:
- Use the Service to send spam, harassment, or unlawful content;
- Use the Service to impersonate any person or entity, or to engage in deceptive practices;
- Reverse engineer, decompile, or attempt to extract source code from the Service;
- Interfere with the integrity or performance of the Service, or attempt unauthorized access to any system or data;
- Use the Service to violate the terms of any third-party platform you connect, or to take actions that would result in account suspension on those platforms;
- Use the Service to scrape, crawl, or harvest data from a connected platform other than through the official API on your authorized accounts;
- Use the Service to train competing AI models or to resell raw API data.
5. AI features
The Service uses third-party AI models to generate suggested replies and to classify comments. AI suggestions are provided as-is and may be incorrect, incomplete, or unsuitable for a given situation. You are responsible for reviewing and approving any AI-generated content before it is posted to a connected platform.
6. Subscriptions, billing, and refunds
Paid plans are billed in advance on a monthly or annual basis through our payment processor (Stripe). Fees are non-refundable except where required by law. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. We may change pricing on at least 30 days’ notice.
7. Free trials
We may offer free trials of paid features. Unless otherwise stated, free trials end automatically and do not auto-convert to paid plans without your consent.
8. Termination
You may cancel your account at any time. We may suspend or terminate your access if you breach these Terms, if your use creates risk or legal exposure for us, or if we are required to do so by law or by a third-party platform. On termination, your right to use the Service ends and we will delete your data as described in our Privacy Policy.
9. Intellectual property
The Service, including all software, design, branding, and documentation, is owned by Oxia and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
10. Third-party platforms
The Service integrates with third-party platforms that are not controlled by us. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for changes they make to their APIs or for the availability of their services.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OXIA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO OXIA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold Oxia and SocialRoar harmless from any claim or demand arising out of your use of the Service, your content, or your violation of these Terms or any applicable law.
14. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Oxia is established, without regard to conflict of laws principles. Any dispute will be resolved in the courts located in that jurisdiction, except where mandatory consumer protection laws provide otherwise.
